Term of use
Welcome to Jazalla Platform, these terms and conditions are the contract between you and Jazalla. By registering for Jazalla, you agree to be bound by the following terms and conditions of using this service (“terms of service”). Any new features or tools added to the current service shall be also subject to the terms of service. The following information constitutes the current version of the terms of service. Jazalla Commercial Services Company, the owner, reserves the right to update and change the terms of service by posting updates and changes to the Jazalla website.
The terms ‘Jazalla’, ‘us’ and ‘we’ will interchangeably be used to refer to the service provider, and the terms ‘you’, ‘user’ ‘client’, and ‘customer’ will be interchangeably used to refer to the service receiver. Check the ‘Terms of Service’ from time to time for any updates or changes that may affect you.
Jazalla is a trade name owned by Jazalla Commercial Services Company, a company registered in the Kingdom of Saudi Arabia, under registration number 2051254026
ACCOUNT TERMS
- Each company will have one account linked to its Commercial Registration Number. A minimum of one user must be registered in Jazalla system. Each user will have a separate profile, username, password and set of permissions. A Company account may have many users.
- To register a Company, you are required to provide the full legal name of the Company, your name, local mobile number, and a valid email address.
- The first user to register a Company is granted full authority to administer the Company account. As the account administrator, you may add additional users to the account and are solely responsible for managing their roles and permissions. Jazalla uses the Nafath system to verify the identity of the initial registrant signing up on behalf of the Company. However, Jazalla will not be held liable for any loss or damage resulting from misrepresentation, misconduct, or failure to properly manage the account by the account administrator or any other users added to the system.
- The account administrator(s) of a Company is/are responsible for managing the passwords associated with the account. We cannot and will not be liable for any loss or damage from the failure of the account administrator(s) to maintain the security of the account and passwords.
- You may not use Jazalla for any illegal or unauthorized purpose, nor may you, in the use of the service, violate any laws in your jurisdiction (including but not limited to copyright laws) as well as the laws of Saudi Arabia.
- As a Jazalla user, you are responsible for all the activity and the contents including any data, graphics, photos, and links that are uploaded under your Jazalla account.
- You must not transmit any worms or viruses or any code of a destructive nature.
- If you breach or violate any of these terms of service, according to our sole discretion, we will have the right to immediately terminate your account and take any legal action we find suitable.
GENERAL CONDITIONS
- You must read, agree on and accept all the terms and conditions contained in this user agreement and you may become a Jazalla user.
- You must be at least 18 years of age.
- You understand that your content (not including your personal data and your credit card and bank information), may be transferred unencrypted and involve (a) transmissions over various networks, and (b) changes to conform and adapt to technical requirements of connecting networks or devices.
- Your personal data is handled carefully and with respect to all the internationally known good practices..
- You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the service, use of the service or access to the service without Jazalla’s express written permission.
- Posting must not contain hyperlinks, other than those specifically authorized by us, keywords or repetitive words, which have nothing to do with the Post's content, name, logo, trademark or intellectual property of any organization other than your own, inaccurate or false, or information misleading.
- You shall not purchase search engine or other pay per click keywords (such as Google AdWords), or domain names that use Jazalla or Jazalla trademarks and/or variations and misspellings thereof without Jazalla’s express written permission.
- The validated email registered in your account will be used by the Jazalla team to communicate with you. Any messages sent to this email is considered to be delivered.

RESTRICTED CONTENT
In connection with the restrictions set out below, we may refuse or edit or remove a Posting which does not comply with these terms.
OUR CONTRACT
- Jazalla may refuse to provide access to its platform or services if you reside in, or operate from, a country that is not supported, or where local laws or regulations prohibit or restrict access.
- Jazalla operates solely as a digital technology platform and is not a party to any transaction between buyers, suppliers, or service providers. We do not act as a principal, agent, guarantor, or broker in any sale, purchase, or service engagement conducted through the platform.
- We welcome your comments, complaints, and feedback submitted through the platform. While we may review such submissions, we are not obligated to act on them and will exercise discretion regarding any action taken.
- Jazalla does not assume responsibility for the delivery, quality, legality, accuracy, or return of any products or services exchanged through the platform. Buyers, suppliers, and service providers are solely responsible for fulfilling their contractual obligations, including delivery, payment, returns, and warranties..
- If Jazalla offers escrow account services, our role is limited to holding funds as a neutral intermediary and releasing them according to the terms mutually agreed upon by the transacting parties. Jazalla does not guarantee the outcome of any transaction or resolve commercial disputes beyond the scope of escrow facilitation.
- Any dispute between users of the platform, including buyers, suppliers, or service providers, must be resolved directly by the parties involved. Jazalla assumes no legal liability for disputes or claims arising from transactions conducted through the platform.
SERVICE LEVEL
As part of this Agreement, Jazalla is committed to the following levels of service delivery:
1. URGENT PRIORITY ISSUE IS DEFINED AS:
1. an issue which affects the entire Jazalla application not functioning.
2. an issue which significantly impacts your business due to not being able to use the application (e.g. server outage)
During business hours (8:00am to 5:00pm – GMT +3 hours), Jazalla is committed to resolving all Urgent priority issues within six (6) hours of receipt of the support request where possible.
2. REGULAR PRIORITY ISSUE IS DEFINED AS::
1. an issue is affecting a part of the system that you use a significant part of the time to manage your business.
2. an issue is significantly affecting your ability to deliver effective customer service to your customers.
During business hours (8:00am to 5:00pm – GMT +3 hours), Jazalla is committed to resolving all regular priority issues within forty-eight (48) hours of receipt of the support request where possible.
3. LOW PRIORITY ISSUE IS DEFINED AS::
1. an issue is moderately impacting your business with some functionality of the system being affected.
2. a temporary work around can be implemented until the issue can be resolved.
During business hours (8:00am to 5:00pm – GMT +3 hours), Jazalla is committed to resolving all the low priority issues within a period of time will be determined based on the amount of work needed.
UPTIME COMMITMENT
Jazalla is committed, with respect to the Jazalla Service, with an uptime of 99.9% at all times. We have chosen and will always make sure to use a reputable hosting partner to ensure we have the best possible chance of achieving this goal at all times. However, we cannot guarantee this goal due to factors beyond our control such as communication, network issues, host party issues, and client related communications issues.
OUR RIGHTS
- To fulfill our legal obligations and maintain platform integrity, Jazalla reserves the right to contact you using the information provided at registration or through other communication channels. This may be for purposes including, but not limited to, verifying the accuracy of your information and confirming the legitimacy of your interactions with the platform. If we receive no response from you for a period of twelve (12) months, Jazalla may, at its discretion, deactivate your account and delete your data, except where retention is required by law or related to shared transactions.
- Jazalla reserves the right to terminate the platform or service offering with a minimum of sixty (60) days’ prior written notice. In such cases, we will offer you the ability to download your data in a commonly used electronic format, excluding any records that involve other parties (such as Purchase Orders, Invoices, or Contracts), which will be retained per applicable laws and platform policies.
- We reserve the right to refuse service or suspend or terminate any account at our sole discretion if:
- The account contains or promotes content that is unlawful, offensive, threatening, defamatory, libelous, pornographic, obscene, or otherwise objectionable.
- The content violates any third party’s intellectual property rights, applicable laws, or these Terms of Use.
- There is verbal or written abuse, including threats or harassment, directed toward any Jazalla staff member, customer, user, or officer.
- We reserve the right to refuse service or suspend or terminate any account at our sole discretion if:
- Jazalla may monitor activity within accounts to ensure compliance with these Terms of Use, maintain service quality, and ensure platform security. System administrator access is strictly limited and logged, and actions are restricted to only what is necessary to achieve the intended technical or support objective.
- You may terminate your account at any time by submitting a written request. Termination will not affect your obligation to settle any pending transactions or liabilities, and Jazalla may retain transactional records for compliance or auditing purposes.
LIMITATION OF LIABILITY
- You expressly acknowledge and agree that Jazalla, its affiliates, directors, officers, employees, agents, partners, service providers, and licensors shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to loss of profits, goodwill, business interruption, loss of data, or other intangible losses, arising from or relating to:
- The use of, or inability to use, the Jazalla platform or services.
- Unauthorized access to or alteration of your transmissions or data.
- Statements or conduct of any third party on the service.
- Or any other matter relating to your use of the services.
- In no event shall Jazalla or its buyers, suppliers or service providers be liable to you for any damages exceeding the total amount of fees paid by you to Jazalla for the services in the twelve (12) months preceding the event giving rise to the liability.
- You agree to indemnify, defend, and hold harmless Jazalla and its affiliates, subsidiaries, officers, directors, employees, agents, and partners from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees and costs) arising out of or in connection with:
- Your breach of this Agreement or any applicable laws.
- Your misuse of the service.
- Or your violation of any third-party rights, including intellectual property or data protection rights
- You understand and agree that your use of the service is at your sole risk. The services are provided on an "as is" and "as available" basis, without any warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
- Jazalla does not warrant that:
- The service will be uninterrupted, secure, or error-free.
- The results obtained from the service will be accurate or reliable.
- Any products, services, or information obtained through the service will meet your expectations.
- Any errors in the service will be corrected in a manner or timeframe you may expect.
WAIVER AND COMPLETE AGREEMENT
- The failure of Jazalla to enforce or exercise any right or provision under these Terms of Service shall not constitute a waiver of that right or provision.
- These Terms of Service, together with our Privacy Policy and any other legal or policy documents referenced herein or provided by Jazalla, constitute the entire agreement between you and Jazalla with respect to your use of the platform and services, and they supersede all prior or contemporaneous agreements, communications, or understandings, whether written or oral.
INTELLECTUAL PROPERTY AND CUSTOMER CONTENT
- You retain all ownership rights to content, data, and materials that you upload, input, or submit to the Jazalla platform, including internal business data and publicly shared information (“User Content”). Jazalla does not claim ownership over your intellectual property.
- However, by submitting User Content to the platform, you grant Jazalla and its service providers a non-exclusive, worldwide, royalty-free license to host, process, store, reproduce, and display such content solely for the purpose of providing, maintaining, and improving the platform and related services, including facilitating authorized access within your organization or to other connected parties.
- This license does not grant Jazalla any rights to sell or publicly disclose internal business data, such as ERP records, unless specifically directed by you or required by law.
- Jazalla handles two distinct categories of User Content:
- Private Business Data: Information submitted via ERP modules (e.g., employee records, financials, payroll, procurement, and project data) is treated as confidential and used only for your internal operational purposes.
- Marketplace Content: Information voluntarily published by you to the marketplace (e.g., products, services, tenders, company profiles) is considered public or semi-public and may be visible to other users. You are solely responsible for ensuring its legality, accuracy, and compliance with applicable laws.
- You may request account termination at any time. Upon deletion, Jazalla will remove your User Content, except for system-generated or transactional records (e.g., purchase orders, invoices, contracts, tenders) that are linked to other users or third parties.
- Such records will be retained as needed for legal compliance, business continuity, and platform integrity, and may remain accessible to the relevant counterparties.
- By uploading content to Jazalla, you authorize designated users within your organization or authorized counterparties to access that content as permitted by your configuration.
- You also agree that Jazalla may store and, if reasonably required, review submitted content to enforce its Terms of Service or comply with applicable legal obligations, such as anti-fraud, regulatory, or data protection laws.
- Jazalla respects third-party intellectual property rights and expects users to do the same.
- If you believe content on the platform infringes your rights, you may submit a written notice including:
- Description of the protected material,
- Specific location (URL or reference) of the infringing content,
- Your contact information,
- A good-faith statement, under penalty of perjury, that the notice is accurate and you are the rights holder or authorized to act on their behalf.
- Upon receipt of a valid complaint, Jazalla may temporarily remove or restrict access to the content, inform the uploader, and permit submission of a counter-notice. If a valid counter-notice is received, the complainant must initiate legal action within the prescribed period; otherwise, access to the content may be restored.
- You are solely responsible for the legality, accuracy, and intellectual property rights of the content you upload. You agree not to submit content that infringes upon the rights of others or violates any laws.
- You agree to indemnify, defend, and hold harmless Jazalla, its affiliates, directors, officers, and service providers from any claims, liabilities, losses, or expenses (including legal fees) arising from your User Content or violations of these terms or third-party rights.
PAYMENT OF FEES
- Companies that subscribe to any paid Jazalla packages must provide a valid credit or debit card (or another approved payment method) to complete the subscription process.
- All subscriptions must be prepaid in full for the selected term. Jazalla offers company registration with a basic package, with optional add-ons such as additional users, modules, or features. All subscriptions are annual and billed annually in advance.
- Jazalla provides a demo version of the platform for companies to evaluate the services before subscribing. Once a company subscribes and makes payment, the subscription is considered final and non-refundable, regardless of early termination, downgrade, or non-use of the services.
- All fees stated are exclusive of VAT or any applicable governmental taxes. The subscribing company is solely responsible for the payment of all such taxes, which may be added to the invoice as required by law.
CANCELLATION AND TERMINATION
- You may cancel your account at any time by sending a written request to support@jazalla.com. Upon cancellation, your access to the Jazalla platform will be revoked at the end of your subscription period.
- Upon cancellation or termination, your content will be deleted from the system, except for any records or documents that involve other parties, such as Purchase Orders, Contracts, or Invoices. These will be retained to preserve transaction integrity and data consistency for all affected users.
- Jazalla does not offer refunds for any subscriptions or unused service periods. However, if Jazalla terminates your account without cause or legitimate reasoning, you may be eligible for a pro-rata refund based on the remaining portion of your subscription term.
- Jazalla reserves the right to modify, suspend, or terminate the service, in whole or in part, for any reason, with a minimum of sixty (60) days’ written notice, unless termination is due to breach of these Terms of Service, fraud, or other misconduct.
- Without limiting other remedies, Jazalla may suspend or terminate your account immediately if we reasonably suspect that you have engaged in fraudulent, illegal, or abusive activity in connection with the platform, whether determined through investigation, conviction, settlement, or other credible evidence.
- You retain ownership of your data at all times. In the event of termination by either party, or if Jazalla is subject to acquisition, merger, insolvency, or reorganization, you will continue to have full access to retrieve and export your data in a standard format. The obligations and terms under this Agreement shall survive any such event and remain binding on any successor entity.
MODIFICATIONS TO THE SERVICE AND PRICES
- Jazalla reserves the right to modify the Service or any part thereof, including pricing, with a minimum of sixty (60) days’ notice, unless otherwise required by law or in the event of urgent circumstances (e.g., compliance or security). Notice may be provided via email and/or posted on the Jazalla website.
- You will be entitled to access any new product enhancements, updates, or improvements that are made generally available to users during your subscription term.
- You will be notified in advance of the release of any significant new optional, chargeable features. These features will not be activated without your explicit consent.
- Jazalla may launch or discontinue special offers or discounts at its sole discretion and without prior notice.
- Jazalla shall not be liable to you or to any third party for any modification, suspension, price change, or discontinuance of the Service, provided such actions comply with the notice requirements above.
OPTIONAL TOOLS
- Jazalla may provide access to third-party tools or services ("Third-Party Tools"). These are provided on an “as-is” and “as-available” basis, without any warranties, representations, or conditions of any kind, and without endorsement.
- Jazalla does not monitor, control, or provide input for any Third-Party Tools and shall have no liability whatsoever arising from or related to your use of such tools.
- Your use of Third-Party Tools is entirely at your own risk and discretion. It is your responsibility to review and accept the applicable terms and privacy policies of the relevant third-party provider(s) before using such tools.
GOVERNING LAW
- This Agreement and any disputes, claims, or actions arising out of or relating to it shall be governed by, and construed in accordance with, the laws and regulations of the Kingdom of Saudi Arabia, without regard to its conflict of law provisions.
- Exclusive jurisdiction and venue for any dispute shall lie with the competent courts of Saudi Arabia, and each party hereby irrevocably submits to such jurisdiction.
